Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Fleepstash, including our website, mobile applications, and related services (collectively, the “Platform”).

Fleepstash is a digital financial technology platform owned by TGR TECH SERVICES LIMITED, a company registered in Nigeria (“TGR Tech”).

The Platform’s software and technical infrastructure are developed and maintained by FLEEPSTACH TECH SERVICE LIMITED, a separate company registered in Nigeria (“FleepStach Tech”).

TGR Tech and FleepStach Tech are separate legal entities. Together, they may be referred to as the “Fleepstash Group” where appropriate.

Under these Terms, TGR Tech is the company contracting with customers in relation to the Platform, subject to the service specific arrangements described below. FleepStach Tech provides technology development, software maintenance, and related technical services.

Financial services, including the receipt, holding, conversion, transfer, or payout of funds, may be provided by independent third party financial institutions and payment service providers.

By creating an account or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

These Terms should be read together with our Privacy Policy and any additional terms that apply to a particular service or transaction.

For these Terms:

Account

Your registered Fleepstash user account.

Customer or you

An individual who registers for or uses the Platform.

Payment Provider

An independent bank, financial institution, or payment service provider that provides financial services in connection with the Platform.

Platform

The Fleepstash website, mobile applications, software interfaces, and related digital services.

Transaction

A payment, transfer, conversion, refund, or other supported financial operation initiated through the Platform.

TGR Tech

TGR TECH SERVICES LIMITED, the owner of Fleepstash and the customer contracting company identified in these Terms.

FleepStach Tech

FLEEPSTACH TECH SERVICE LIMITED, the company responsible for software development and technical infrastructure.

Fleepstash is intended to help individuals access supported payment and money transfer services across eligible countries and currencies.

Depending on availability, the Platform may allow you to:

• Register and manage a personal account.
• Initiate supported payment and money transfer transactions.
• Request transfers between supported countries and currencies.
• View transaction details, applicable exchange rates, fees, and status.
• Access other features introduced from time to time.

The countries, currencies, payment methods, and transfer routes available to you may change as services are introduced, updated, or discontinued.

Neither TGR Tech nor FleepStach Tech is represented by these Terms as a licensed bank or licensed financial institution. No financial services licence or regulatory approval is claimed for either company unless separately confirmed and accurately disclosed.

The provision of a service through a third party does not, by itself, establish that TGR Tech or FleepStach Tech is exempt from any licensing or regulatory requirement that may apply to its own activities.

4.1 TGR TECH SERVICES LIMITED

TGR Tech owns the Fleepstash platform and is the customer contracting company under these Terms.

Subject to applicable law and the arrangements for each service, TGR Tech is responsible for its own contractual obligations concerning the Platform, including applicable customer communications, account administration, and handling complaints about its services.

TGR Tech may engage third parties to provide payment services, technical infrastructure, identity verification, customer support, and other services necessary to operate the Platform.

4.2 FLEEPSTACH TECH SERVICE LIMITED

FleepStach Tech develops, maintains, and supports the software and technical infrastructure used by Fleepstash.

Its responsibilities may include application development, software updates, system maintenance, technical troubleshooting, and security improvements.

FleepStach Tech does not become the holder of customer funds or the provider of a financial service merely because it develops or maintains the Platform.

Where FleepStach Tech processes personal information for TGR Tech, their respective responsibilities must be governed by appropriate arrangements and applicable data protection law.

4.3 Independent Payment Providers

Payment Providers are responsible for the financial services they provide under their own arrangements and applicable law.

Their responsibilities may include receiving or holding funds, executing transfers, currency conversion, settlement, and payouts.

The relevant provider’s identity and role will be disclosed where required. Separate provider terms may apply to the financial service.

Nothing in this section removes any responsibility that TGR Tech or FleepStach Tech has under applicable law.

To use Fleepstash, you must:

1. Be at least 18 years old or meet any higher minimum age required by applicable law.
2. Have legal capacity to enter into a binding agreement.
3. Provide accurate, complete, and current information.
4. Complete any required identity verification.
5. Be legally permitted to use the relevant service in your country.
6. Comply with these Terms and applicable laws.

Fleepstash is intended for individual customers. Business accounts and commercial use are not supported unless expressly introduced under separate terms.

We may decline an application or restrict access where permitted by law and necessary to meet legal, security, compliance, or provider requirements.

You must provide truthful information when creating your Account and keep your information up to date.

You are responsible for:

• Protecting your password, PIN, verification codes, and account credentials.
• Taking reasonable steps to prevent unauthorised account access.
• Not allowing another person to use your Account improperly.
• Reporting suspected unauthorised access promptly.
• Checking transaction information before confirming a transaction.

You must not register using another person’s identity or provide false or misleading information.

We may request additional verification before permitting certain transactions.

If you suspect unauthorised activity, contact us promptly. We will take reasonable steps to investigate and protect your Account, subject to applicable law and the circumstances of the incident.

Your responsibility for any loss will be determined under applicable law and the facts of the incident. We will not automatically treat every transaction made through your Account as authorised by you.

You and the relevant Payment Provider may be required to complete identity verification, address verification, source of funds checks, or other compliance checks.

You agree to provide accurate information and reasonable assistance when these checks are required.

Information may be shared with Payment Providers, financial institutions, verification services, fraud prevention services, or competent authorities where necessary and permitted or required by law.

A transaction or Account may be delayed, rejected, or restricted where reasonably necessary to verify information, investigate suspected fraud, meet provider requirements, or comply with applicable law.

We will handle these measures in accordance with applicable law, including any restrictions on what we may disclose.

The Platform may enable you to initiate supported payment or money transfer transactions through Payment Providers.

Before you confirm a transaction, we will display the material information available to us, which may include:

• The amount and currency you intend to send.
• The expected recipient amount and currency.
• The applicable exchange rate.
• Applicable fees and charges.
• The recipient details.
• Relevant transaction limits and processing conditions.

You are responsible for checking the information before confirming the transaction.

When you confirm a transaction, you instruct TGR Tech and the relevant Payment Provider, as applicable to the service, to process the request according to the displayed details and applicable terms.

Submitting a request does not necessarily mean that a transaction has been completed. Processing may depend on payment confirmation, verification, provider acceptance, settlement, and delivery of funds.

We will provide transaction status information through the Platform or another appropriate channel where available.

Fleepstash may rely on independent Payment Providers to receive, hold, convert, transfer, or pay out funds.

Where a provider holds customer funds, those funds are held under the provider’s applicable account arrangements and legal framework. They are not held by TGR Tech or FleepStach Tech merely because the transaction is initiated through the Platform.

A Payment Provider may impose its own eligibility requirements, transaction limits, verification checks, processing times, and service conditions.

We will identify the relevant provider and explain its role where required.

You acknowledge that:

1. Some parts of a transaction may be processed outside Fleepstash’s systems.
2. A provider may delay or reject a transaction for legal, compliance, operational, or security reasons.
3. The provider’s separate terms may apply to the financial service it provides.
4. We cannot guarantee uninterrupted availability of an independent provider’s service.

TGR Tech remains responsible for its own obligations under these Terms and applicable law. The involvement of a Payment Provider does not automatically remove any responsibility that the law places on TGR Tech.

Any balance, transaction history, or payment information displayed in the Platform must be understood according to the underlying service and account arrangement.

A balance displayed by Fleepstash does not, by itself, establish that TGR Tech or FleepStach Tech holds the corresponding funds.

Unless a specific arrangement is clearly disclosed and lawfully provided:

• TGR Tech does not accept customer deposits as a bank.
• Neither company promises interest or investment returns on displayed balances.
• Neither company guarantees that customer funds qualify for a deposit protection or compensation scheme.
• Funds held by a Payment Provider remain subject to that provider’s applicable arrangements and legal obligations.

We will explain the relevant funding and withdrawal arrangements for each supported service before you use it.

Nothing in this section is intended to reduce any protection that applies to customer funds under mandatory law.

Fees and exchange rates may vary by transaction, currency, destination, payment method, and provider.

We will disclose applicable charges and the exchange rate available to you before you confirm a transaction, to the extent required by law and supported by the relevant service.

If a quote expires or transaction details change before execution, we may ask you to review and accept a new quote.

We will not knowingly apply a different fee or exchange rate from the one agreed without a lawful basis and appropriate disclosure.

Taxes, bank charges, intermediary charges, and recipient fees will be disclosed where known and required. Some third party charges may depend on information outside our control.

Transactions may be subject to minimum or maximum amounts, daily or monthly limits, currency restrictions, verification requirements, and other service conditions.

Processing times are estimates unless expressly stated otherwise.

Transactions may take longer because of:

• Provider processing or settlement schedules.
• Public holidays or banking hours.
• Additional verification or compliance reviews.
• Incorrect recipient information.
• Payment network or technical interruptions.
• Restrictions imposed by applicable law or a Payment Provider.

We will make reasonable efforts to provide transaction status information and assist with enquiries about delayed transactions.

You should review recipient details and transaction amounts carefully before confirming a transaction.

If you believe a transaction is incorrect, delayed, duplicated, unauthorised, or unsuccessful, contact us promptly using the support details published on the Platform.

TGR Tech will review the information available to it and, where appropriate, coordinate with the relevant Payment Provider.

A failed or pending status does not always mean that funds have not moved. The final status may need to be confirmed with the provider.

Where a transaction fails, any refund or reversal will depend on the payment method, the location of the funds, the provider’s processes, and applicable law. We will explain the relevant process and expected timeframe where available.

We cannot guarantee recovery of funds sent to an incorrect recipient, but we will provide reasonable assistance where possible.

Nothing in this section limits any refund, reversal, or other remedy available to you under applicable law.

A transaction may be cancelled only where cancellation is supported by the relevant service and the transaction has not reached a stage at which cancellation is unavailable.

You may not be able to cancel a transaction once it has been executed, settled, or paid to the recipient.

Where cancellation or a refund is available, we will explain the applicable process, expected timeframe, and any permitted charges.

Refunds will ordinarily be returned through the original payment method or another lawful method agreed with you, subject to provider requirements.

TGR Tech will coordinate with the relevant Payment Provider where necessary to investigate and facilitate an eligible refund.

We will not refuse a refund or charge a cancellation fee where doing so would violate applicable law.

You may use Fleepstash only for lawful personal purposes and in accordance with these Terms.

You must not use the Platform to:

• Commit fraud, impersonation, theft, or other unlawful acts.
• Facilitate money laundering, terrorist financing, sanctions evasion, or other prohibited financial activity.
• Conceal the true source, destination, ownership, or purpose of funds.
• Use another person’s identity or financial account without proper authority.
• Circumvent transaction limits, verification checks, or security controls.
• Interfere with the Platform or access systems without authorisation.
• Exploit technical vulnerabilities or attempt to compromise system security.
• Submit false, misleading, or fraudulent transaction information.

We may investigate suspected misuse and take proportionate action permitted by law, including refusing transactions, restricting access, or reporting activity to relevant authorities where required.

You may request to close your Account by contacting us through the available support channels.

TGR Tech may suspend, restrict, or close an Account where reasonably necessary to protect customers, maintain security, comply with law, enforce these Terms, or respond to a Payment Provider’s lawful requirements.

Where legally permitted and reasonably practicable, we will explain the reason for a restriction and any steps available to resolve it.

Account closure does not automatically cancel pending transactions or remove obligations that arose before closure.

Any remaining funds held by a Payment Provider will be handled under the applicable account arrangements and law. We will provide reasonable assistance in directing you to the appropriate process.

We may retain records where required by law or reasonably necessary for legitimate legal, security, dispute resolution, and compliance purposes.

Our Privacy Policy explains how personal information is collected, used, stored, and shared in connection with Fleepstash.

TGR Tech is responsible for identifying and fulfilling its data protection obligations in connection with the operation of the Platform. FleepStach Tech may process personal information to provide technical services or may have separate responsibilities where it determines the purposes or means of processing.

The companies’ actual roles must be reflected in their privacy disclosures and contractual arrangements.

Personal information may be shared with Payment Providers, verification services, technical service providers, and other parties where necessary to deliver services, protect customers, prevent fraud, resolve disputes, or comply with legal obligations.

We will handle personal information in accordance with applicable data protection law.

The Privacy Policy should be read alongside these Terms.

We aim to keep the Platform secure and available, but we do not guarantee uninterrupted or error-free operation.

We may update, maintain, modify, or temporarily suspend parts of the Platform for technical, security, operational, or legal reasons.

The intellectual property rights in the Platform, including its software, branding, design, text, and original content, belong to the relevant company or its licensors, as applicable.

TGR Tech owns Fleepstash as a business and platform. The ownership of the underlying software, code, and other technology assets will be determined by the relevant intellectual property rights and agreements between TGR Tech and FleepStach Tech.

You may use the Platform only for its intended purposes. You must not copy, distribute, modify, reverse engineer, or commercially exploit any part of it except where permitted by law or with the relevant rights holder’s permission.

The Platform is provided subject to these Terms and applicable law.

We do not guarantee that every service, currency, transfer route, or Payment Provider will always be available.

To the extent permitted by law, TGR Tech will not be responsible for losses arising solely from circumstances beyond its reasonable control, including third party network interruptions, government restrictions, or events that could not reasonably have been prevented.

TGR Tech remains responsible for its own acts, omissions, contractual obligations, and duties imposed by applicable law.

FleepStach Tech’s responsibilities will be determined by its actual role, its applicable agreements, and the law. Nothing in these Terms removes liability that either company cannot lawfully exclude.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or other liability that cannot lawfully be excluded.

Where permitted by law, neither company will be liable for indirect or consequential losses that were not reasonably foreseeable when the relevant agreement was made.

This section does not remove any rights you have under applicable consumer protection or financial services laws.

Please provide enough information for us to identify the issue. Do not send passwords, PINs, or one-time verification codes.

TGR Tech will review complaints about the Platform and coordinate with the relevant Payment Provider where a complaint concerns that provider’s services.

Complaints will be handled in accordance with the applicable complaints process and legal deadlines.

Where appropriate, we will explain any available escalation process. Nothing in these Terms prevents you from contacting a competent regulator, consumer protection body, or other authority where you are legally entitled to do so.

We may update these Terms to reflect changes in our services, business operations, legal requirements, security measures, or provider arrangements.

We will publish updated Terms on the Platform and provide notice of material changes where required by law.

Where a change requires your consent, we will obtain it before applying the change to the affected service.

The updated Terms will state their effective date. Continued use of the Platform after changes take effect may constitute acceptance where permitted by law, but will not replace express consent where legally required.

These Terms are intended to be governed by the laws of the Federal Republic of Nigeria, subject to any mandatory consumer protection or other laws that apply to you in another jurisdiction.

Disputes will be handled by competent courts or dispute resolution bodies with jurisdiction under applicable law.

Nothing in this section removes any mandatory right you may have to bring a claim in another competent forum.
